Terms of Service

1. Acceptance of Terms

By accessing or using the Nexus platform, you agree to be bound by these Terms of Service. If you do not agree, do not use the platform. We may update these terms; continued use after changes constitutes acceptance.

2. Accounts and Registration

You must create an account to use the platform. You are responsible for maintaining the confidentiality of your API keys and credentials. You must provide accurate registration information and keep it updated. Accounts are for a single organization; sharing across unrelated entities is prohibited.

3. Acceptable Use

You agree to use the platform in compliance with all applicable laws and regulations. You must not: use the platform for any illegal or unauthorized purpose; attempt to reverse engineer, decompile, or extract the platform source code; interfere with or disrupt the platform integrity or performance; use automated tools to scrape, crawl, or index the platform without authorization; deploy agents that generate malicious code, execute attacks, or violate third-party rights.

4. Intellectual Property

You retain all rights to your codebase, agent configurations, task inputs, and agent outputs. Nexus retains all rights to the platform software, algorithms, models, documentation, and branding. You grant Nexus a limited license to process your data as necessary to provide the service. Feedback and suggestions may be used by Nexus without obligation.

5. Service Level and Availability

Nexus aims for 99.9% platform availability for paid plans. Free tier services are provided "as is" without availability guarantees. Planned maintenance will be communicated via status.nexus.run. Service credits for verified outages are governed by your Service Level Agreement.

6. Limitation of Liability

To the maximum extent permitted by law, Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

7. Termination

Either party may terminate the agreement with 30 days written notice. We may suspend access for violation of these terms. Upon termination, your data will be available for export for 30 days, after which it will be permanently deleted.

8. Governing Law

These terms are governed by the laws of the State of California, USA. Disputes shall be resolved in the courts of San Francisco County. The parties agree to attempt resolution through informal negotiation before pursuing legal action.
